Terms of Service

1. About these terms

These Terms of Service ("Terms") govern your use of the CapCore platform and any related services (the "Service") provided by Transforming Training Teams Ltd ("we", "us", "our"), a Private Limited by Shares registered in England & Wales with company number 16504628.

By creating an account, accessing or using the Service you agree to be bound by these Terms. If you are entering into these Terms on behalf of an organisation, you confirm you have authority to bind that organisation.

2. The service

CapCore is a workforce-capability platform offering performance appraisals, performance-case management, training compliance, capability evidencing and related modules under your organisation's subscription.

We may add, remove or modify features. We will provide reasonable notice of any material changes that adversely affect your use of the Service.

3. Accounts and access

You are responsible for keeping your account credentials secure and for all activity under your account. You must notify us promptly if you suspect any unauthorised access.

You must not share access, attempt to bypass security controls, reverse-engineer the Service, or use it for any unlawful purpose.

4. Fees and payment

Subscription fees, billing cadence and any add-on charges are set out in your Order Form or your in-product Pricing summary. Unless stated otherwise, fees are in GBP and exclusive of VAT.

Charges may appear on your bank statement as "Transforming Training Teams Ltd".

Late payment may result in suspension of the Service. We may, on at least 60 days' notice, change subscription fees with effect from your next renewal date.

5. Customer data and confidentiality

You retain ownership of all data you upload to the Service ("Customer Data"). You grant us a limited licence to process Customer Data solely to operate the Service for you.

Customer Data is processed in accordance with our Privacy Policy and any executed Data Processing Agreement. Both parties shall keep one another's confidential information secret.

6. Intellectual property

The Service, including all software, designs, trademarks ("CapCore" and the CapCore logo) and documentation, is owned by Transforming Training Teams Ltd or its licensors. No rights are granted to you other than the right to use the Service as set out in these Terms.

7. Warranties and disclaimers

We will provide the Service with reasonable skill and care. Except as expressly stated, the Service is provided "as is" and we exclude all other warranties to the extent permitted by law.

Nothing in these Terms limits any liability that cannot lawfully be limited (including for death, personal injury caused by negligence, or fraud).

8. Liability cap

To the maximum extent permitted by law, neither party shall be liable for any indirect, special or consequential loss, loss of profit, loss of goodwill or loss of anticipated savings.

Each party's total aggregate liability arising under or in connection with these Terms, whether in contract, tort, negligence or otherwise, shall not exceed the fees paid or payable by you to us in the twelve (12) months immediately preceding the event giving rise to the claim.

9. Term and termination

These Terms commence on the date you first access the Service and continue until terminated. Either party may terminate for material breach not remedied within 30 days of written notice.

On termination we will provide a reasonable opportunity (typically 30 days) for you to export your Customer Data, after which it will be deleted in accordance with our retention policy.

10. Governing law and disputes

These Terms are governed by the laws of England & Wales. The parties submit to the exclusive jurisdiction of the courts of England & Wales, except that we may bring proceedings to protect our intellectual property in any jurisdiction.
